Terms and conditions of sale

General Sales Conditions are mandatory for transactions between 2 parties. They protect both buyer and seller by setting out their rights and obligations.

Preamble

  • The Seller is in the business of selling secure packaging for bottles of wine and spirits.
  • In particular, the Seller markets its products via the website
    www.europackwine.com
  • The Parties agree that their relationship shall be governed exclusively by the present contract, to the exclusion of any other conditions previously available on the Seller's website.
  • The Vendor reserves the right to modify these terms and conditions of sale at any time by publishing a new version on the Site.
  • The applicable conditions are those in force on the date the order is validated.

Article 1 - Purpose

These General Terms and Conditions of Sale apply exclusively to all sales concluded with professional purchasers, whatever clauses may appear in the Customer's documents, and in particular his general terms and conditions of purchase, over which these General Terms and Conditions of Sale take precedence.

These terms and conditions are applicable to all sales of Products by the Seller through its Website.

The Customer hereby declares that he/she has read and understood these General Terms and Conditions of Sale, before validating the Order as defined in Article 3. Validation of the order therefore implies unreserved acceptance of these General Terms and Conditions of Sale.

Article 2 - Ordering Products and Online Sales Conclusion Steps

In order to complete the order, the Customer must complete the following steps:

  1. Enter the site address,
  2. Follow the instructions on the Site, and in particular those required to open a Customer account,
  3. Fill in the order form,
  4. Check Order items
  5. Confirm the Order, and the total price,
  6. Follow the instructions of the online payment server

The Customer will then receive electronic confirmation of acceptance of payment for the order.
The Customer will also receive an electronic acknowledgement of receipt confirming the Order. The Customer will be able to check online whether his/her order has been dispatched. Delivery will be made to the delivery address indicated by the Customer at the time of ordering. During the various stages of the above-mentioned Order, the Customer undertakes to comply with the present Contractual Conditions, in application of Article 1316-1 of the French Civil Code. The Vendor undertakes to honour the Order only within the limits of available stocks of Products. If the Products are not available, the Vendor undertakes to inform the Customer.

However, the Vendor reserves the right to refuse the Order if it is abnormal, placed in bad faith or for any other legitimate reason, and in particular when there is a dispute with the Customer concerning the payment of a previous order.

Article 3 - Product Prices and Conditions of Validity

The Products are supplied at the current prices shown on the www.europackwine.com website, at the time the order is registered by the Vendor. Prices are expressed in Euros, excluding and including VAT.

Prices take into account any discounts granted by the Seller on the website. www.europackwine.com

These prices are firm and non-revisable during their period of validity, as indicated on the www.europackwine.com website, the Vendor reserving the right, outside this period of validity, to modify prices at any time. They do not include processing, shipping, transport and delivery costs, which are invoiced in addition, under the conditions indicated on the www.europackwine.com website, and calculated prior to placing the Order.

The payment requested from the Customer corresponds to the total amount of the purchase, including these charges. An invoice is issued by the Vendor and given to the Customer upon delivery of the Products ordered. The order is validated from the date of effective payment of the price.

Article 4 - Terms of payment

Payment of the order price by the Customer is made by one of the following means of payment: credit card, bank transfer, draft, Paypal.

In the case of payment by credit card: The transaction is immediately debited from the customer's credit card after verification of the customer's credit card details, upon receipt of debit authorization from the credit card issuer.

In accordance with Article L.132-2 of the French Monetary and Financial Code, the commitment to pay given by means of a payment card is irrevocable. By providing his credit card details, the Customer authorizes the Vendor to debit his credit card for the amount corresponding to the Total Price including VAT.
To this end, the Customer confirms that he/she is the holder of the bank card to be debited and that the name on the bank card is indeed his/her own. The Customer provides the sixteen digits and expiry date of his/her credit card, as well as the visual cryptogram numbers, if applicable.

In the event that it is impossible to debit the total Price inclusive of tax, the Online Sale will be immediately cancelled by operation of law and the Order will be cancelled.

For payments by bank transfer, draft and Paypal: they will only be considered valid upon receipt of the total price including VAT.

The Vendor makes every effort to ensure the confidentiality and security of data transmitted via the site. In addition, the Vendor reserves the right, in the event of failure to comply with the terms of payment set out above, to suspend or cancel the delivery of current orders placed by the Customer.

Article 5 - Order cancellation

Any order validated by the customer on the site can no longer be modified or cancelled by the customer.
The Customer expressly accepts this clause, which is an essential part of these general terms and conditions of sale.

Article 6 - Flat-rate compensation for collection costs

Any sum not paid on the due date will automatically generate interest on arrears equivalent to three times the amount of the invoice.

Article 7 - Modification

Article 8 - Non-waiver

The fact that one of the Parties does not avail itself of a commitment by the other Party to any of the obligations referred to herein shall not be interpreted for the future as a waiver of the obligation in question.

Article 9 - Applicable law

This Contract shall be governed by French law. By express agreement between the parties, these general terms and conditions of sale are written in French. In the event of translation into one or more languages, the French text shall prevail in the event of dispute.

Article 11 - Jurisdiction clause

All disputes arising from sales and purchase transactions concluded in application of these general terms and conditions of sale, concerning their validity, interpretation, performance, termination, consequences and consequences, and which cannot be resolved between the seller and the customer, shall be submitted to the Commercial Court of DIJON.

Article 12 - Express acceptance by the Customer
